On Wednesday, May 23, 2007 the SEC will conduct an open meeting to discuss many current issues. The division of corporate finance will propose revisions to Form D and mandate electronic filing of Form D. The division will also propose a new Regulation D exemption for offers and sales of securities to a newly defined category of “qualified purchasers,” as well as to propose revisions to the Regulation D definition of “accredited investor,” disqualification provisions, and integration safe harbor and to provide interpretive guidance regarding integration. http://www.sec.gov/news/openmeetings/2007/agenda052307.htm#item2
