The Volcker Rule, contained in the recently enacted Dodd-Frank Act, is forcing many large banks to spin-out their prop trading desks. The shake-up has left many successful traders looking for an opportunity and unsurprisingly many are starting their own private funds. While some have found success in raising capital, others will surely find the prospect of running a hedge fund to be a challenge.

Recent enforcement actions by the SEC have shown an increased emphasis on the use of side pockets, a mechanism to separate illiquid assets, by hedge fund managers. Improper use of side pockets has been common but proper use can benefit both investors and fund managers.

The CFTC has proposed modifying certain exemptions contained in the rules under the Commodity Exchange Act while proposing to eliminate others. Certain advisers previously considered exempt from registration will need to register with NFA as CPOs, and existing registered CPOs will be subject to increased compliance obligations.
